First of all, MP3 Organizer is not compatible with Winamp 3, so if you want to play the MP3s with a double-click on it, you should install Winamp 2, as well. There are no problems to have them both installed in your system (since I have them installed on mine). Anyway, this should not be the problem at all.
By the way, are you sure you're running the latest version of Upgrade.exe. Since there were some changes to the database, previous versions of Upgrade.exe might not work. Check if its version is 1.0.6. If it's not, I suggest you to download the proper update from http://emilianomartin.com.ar/MP3%20Organizer/downloads.asp#Updates
If you are still having problems with the latest version of upgrade, I'd need you to zip me the MP3s.mdb file and send it by email to me. I might not get any problem with the tests I might try. Probably some of the information in the database is hunging the Upgrade.exe process.
If you don't get the Upgrade.exe working you will not be able to run the Organizer... the browser either.
I can tell you how to solve this issue, manually without the need of the Upgrade.exe., but only if you know how to use MS Access (and have it installed, obviously). If you do, and want a faster answer... send me your ICQ UIN or MSN email.
